These Terms of Service (“Terms”) govern access to and use of Lead Besties' websites, software, automated lead follow-up services, client dashboard, and related services (collectively, the “Service”). LeadSpring, LLC is a Florida limited liability company doing business as Lead Besties (“Lead Besties,” “we,” “us,” or “our”). By purchasing, accessing, or using the Service, you (“Customer,” “you,” or “your”) agree to these Terms.
1. Lead Besties Service
Lead Besties provides automated lead-management and follow-up tools designed to assist businesses with responding to and managing incoming customer leads. Depending on the features made available to you, the Service may include automated follow-up communications, lead processing, lead-status tracking, response tracking, client reporting, dashboards, and related automation.
Lead Besties is a technology and automation service. We do not sell or guarantee leads and do not guarantee that use of the Service will result in responses, appointments, customers, sales, revenue, profits, or any particular business result.
2. Subscription, Free Trial, and Price
Eligible new customers are currently offered a 30-day free trial of the Lead Besties Automated Follow-Up plan. A valid payment method is required at signup, but no subscription fee is charged during the 30-day trial unless otherwise clearly disclosed at checkout.
Unless you cancel before the free trial ends, your paid subscription will automatically begin when the 30-day trial expires and your selected payment method will be charged $349 USD per month, plus applicable taxes where required by law. The subscription then automatically renews each month until canceled.
By starting the free trial, you authorize Lead Besties and its payment processor to store your selected payment method and, unless you cancel before the trial ends, charge it $349 per month on a recurring basis beginning at the end of the trial. The checkout page controls if it displays a different trial length, price, or promotional offer.
3. Automatic Renewal
If you do not cancel before the 30-day free trial ends, the subscription automatically converts to a paid monthly subscription at $349 per month and renews for successive monthly billing periods until canceled. By completing checkout, you acknowledge the trial-to-paid conversion and authorize recurring charges according to the price and timing displayed at checkout.
We may change subscription pricing in the future. Existing customers will receive reasonable advance notice of a price change when required by applicable law.
4. Cancellation
You may cancel your subscription at any time by contacting support.leadspring@gmail.com or by using another cancellation method Lead Besties makes available. If you cancel before the 30-day free trial ends, you will not be charged the first $349 monthly subscription fee. After paid billing begins, cancellation stops future subscription renewals. Unless otherwise required by law or expressly stated by Lead Besties, cancellation does not retroactively refund charges already incurred.
After cancellation, access to some or all Lead Besties services may continue through the end of the already-paid billing period and may then be discontinued.
5. Refund Policy
Subscription payments are generally non-refundable once charged, except where a refund is required by applicable law or Lead Besties expressly agrees otherwise. Canceling a subscription prevents future renewal charges but does not ordinarily create a refund for the current or previous billing period.
Billing errors or suspected unauthorized charges should be reported promptly to support.leadspring@gmail.com. A separate Cancellation & Refund Policy may provide additional details and is incorporated into these Terms by reference.
6. Failed and Past-Due Payments
You are responsible for maintaining a valid payment method. If a payment fails, becomes past due, is disputed, or otherwise cannot be collected, Lead Besties may automatically suspend or restrict the Service. Service may remain suspended until the account is brought current. Lead Besties may cancel accounts that remain unpaid.
7. Customer Leads and Communications
You are responsible for the leads, customer information, contact information, and other data that you provide to or route through Lead Besties. You represent that you have the rights, permissions, notices, consents, and other lawful basis necessary to collect, use, provide, and process that information and to communicate with the individuals involved.
You are responsible for ensuring that your business’s use of Lead Besties complies with applicable laws and regulations concerning advertising, marketing, email, telephone calls, text messaging, privacy, data protection, consumer protection, and commercial communications. You may not use Lead Besties to send unlawful spam, deceptive communications, fraudulent solicitations, harassment, or communications to individuals whom you are prohibited from contacting.
7A. SMS and Text Messaging
When SMS or text-messaging features are enabled, messages may be sent using automated technology in connection with a lead’s inquiry or other permitted business communications. Customers are responsible for obtaining and maintaining all consents and permissions required for their messaging programs and for honoring opt-out requests.
Recipients may reply STOP to opt out of further text messages and HELP for help where supported. Message frequency varies. Message and data rates may apply. Consent to receive text messages is not a condition of purchase. Lead Besties may suspend messaging functionality when necessary to address compliance, carrier, provider, or abuse concerns.
8. Automated and AI-Assisted Services
Lead Besties may use automation, algorithms, artificial intelligence, and third-party technology providers to process leads, generate or assist with communications, classify information, determine follow-up actions, and operate other portions of the Service. Automated or AI-generated outputs may occasionally be inaccurate, incomplete, delayed, or inappropriate for a particular situation.
You remain responsible for your business communications and for determining whether the Service is appropriate for your business and customers.
9. No Guarantee of Results
Lead Besties does not guarantee any particular business outcome, including any guarantee regarding:
- Number or quality of leads
- Lead response rates
- Appointments or bookings
- Conversion rates
- Customer acquisition
- Sales, revenue, profit, or return on investment
Business results depend on numerous factors outside Lead Besties' control, including your offers, pricing, reputation, market, lead sources, customer demand, sales practices, and the quality and accuracy of information provided to the Service.
10. Customer Responsibilities
You agree to provide accurate account and business information and to use the Service only for lawful business purposes. You are responsible for the accuracy and legality of information, offers, URLs, instructions, templates, and other material you provide for use with Lead Besties. You are also responsible for safeguarding access to your Lead Besties account, dashboard links, credentials, and related systems.
11. Prohibited Uses
You may not use Lead Besties to engage in fraud, impersonation, unlawful discrimination, harassment, deceptive practices, illegal marketing, malicious activity, infringement of intellectual-property rights, or any activity that violates applicable law. You may not attempt to interfere with, reverse engineer, compromise, overload, circumvent, or gain unauthorized access to Lead Besties' systems or another customer’s information. Lead Besties may suspend or terminate access for suspected misuse.
12. Third-Party Services
Lead Besties may rely upon third-party providers for payment processing, hosting, email delivery, artificial intelligence, analytics, infrastructure, and other functionality. Lead Besties is not responsible for outages, changes, failures, or other acts or omissions of third-party services outside our reasonable control. Your use of certain third-party services may also be subject to those providers’ terms and policies.
13. Availability and Changes to the Service
We strive to maintain reliable service but do not guarantee uninterrupted or error-free availability. Lead Besties may modify, improve, replace, discontinue, or add features to the Service. Maintenance, technical failures, internet disruptions, third-party outages, security events, or circumstances beyond our reasonable control may temporarily affect availability.
14. Intellectual Property
Lead Besties and its associated software, branding, designs, workflows, documentation, and other proprietary materials are owned by Lead Besties or its licensors and are protected by applicable intellectual-property laws. Purchasing a subscription provides you with a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes while your subscription remains active. It does not transfer ownership of Lead Besties' technology or intellectual property to you.
15. Privacy
Use of Lead Besties is also subject to our Privacy Policy. You acknowledge that operating the Service may require Lead Besties and its service providers to process information relating to your business, personnel, prospects, customers, and leads. Additional terms concerning data processing may apply when appropriate.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” LEAD BESTIES DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.
We do not warrant that the Service will always be uninterrupted, error-free, secure, or produce any specific result.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEAD BESTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE.
To the maximum extent permitted by law, Lead Besties' aggregate liability arising from or related to the Service will not exceed the amounts actually paid by you to Lead Besties during the three months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply where prohibited by law.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless LeadSpring, LLC and its members, managers, contractors, service providers, and representatives from third-party claims, damages, liabilities, losses, and reasonable costs arising from your unlawful use of the Service, your business communications, your violation of these Terms, or your violation of another person’s rights.
19. Suspension and Termination
Lead Besties may suspend or terminate access to the Service for nonpayment, unlawful use, abuse, security concerns, material violation of these Terms, or conduct that creates unreasonable risk to Lead Besties, its systems, service providers, customers, or third parties. Where reasonably practicable, Lead Besties may provide notice and an opportunity to resolve a violation before termination, although immediate action may be taken when necessary to protect systems, users, or third parties.
20. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any dispute concerning these Terms or the Service will be subject to applicable federal and Florida law.
21. Changes to These Terms
Lead Besties may update these Terms as the Service evolves or as necessary to address legal, regulatory, security, or operational requirements. The updated Terms will be posted with a revised effective date. When required by applicable law, we will provide additional notice of material changes. Continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by law.
22. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
23. Entire Agreement
These Terms, together with the Privacy Policy, Cancellation & Refund Policy, applicable checkout terms, and any written service agreement between you and Lead Besties, constitute the agreement governing your use of the Service. If a separately executed written agreement expressly conflicts with these Terms, the separately executed agreement controls to the extent of that conflict.
